P3/COBOL END USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (EULA) is a legal agreement between the licensors of this Turret development product (the Product) designated above and you and/or any party or individual you are authorized to represent (You) regarding your use of authorized copies of the Product including associated software components, media, printed materials, and online or electronic documentation (the Software) included in the Product either physically or electronically. By installing, copying, and/or using the Software, You agree to be bound by the terms of this EULA.
All right, title, and interest in the Software vests in its various authors and is licensed to J. Bradley & Associates, LLC (doing business as Turret Technology LLC) (Turret), a limited liability company formed under the laws of the State of Texas in the United States of America for subsequent distribution to You. This EULA applies to this Software provided to You by Turret and/or its authorized agents (Licensor).
The Software may contain components owned by other parties (Contributors) and licensed by them to Turret for further sub-licensing to You. Any such contributed components and their respective license terms are noted in the Software, specifically in an enclosed file named "LICENSE.txt". Licensor (if other than Turret), Turret, and the Contributors are collectively referred to in this agreement as the Providers.
This license agreement represents the entire agreement concerning the Software between You and the Licensor, and it supersedes any prior proposal, representation, or understanding between the parties. The rights granted under this license may be further subject to or restricted by other written agreements between You and Licensor that specifically refer to this license agreement. Any such agreements shall be considered to amend this EULA by reference.
Copies of the Software are accompanied by a license certificate digitally signed by Turret (the License Certificate). The License Certificate contains information regarding the precise usage rights granted under this EULA, including limitations and restrictions applicable to the licensed use of the Software. In the event of any conflict between the quantities, metrics, limitations, or restrictions stated in the License Certificate and the general provisions of this EULA, the License Certificate shall control.
If You do not agree to the terms of this EULA, You are not granted any rights to the Software and should not install or use the Software for any purpose.
Copyright laws and international copyright treaties, as well as other intellectual property laws and treaties, protect the Software. The Software is licensed, not sold.
Definitions
Execution Environment
An Execution Environment is any physical, virtual, containerized, hosted, or cloud-based computing environment in which the Software is installed or executed, including but not limited to on-premises systems, virtual machines, containers, and public or private cloud infrastructure.
Grant of License
The Software is licensed as follows.
Installation and Use
You are granted the right to install and use the Software within one or more Execution Environments, consistent with the quantities, metrics, and limitations specified in the applicable License Certificate.
If the Software is designated by the accompanying License Certificate as a Development System, each authorized license may be used by one individual developer designated by You. Such use may include installation and execution on local workstations, shared systems, remote systems, build servers, continuous integration systems, or cloud-hosted development environments, provided that You do not at any time exceed the number of authorized developer licenses specified in the License Certificate.
You may change designated developers from time to time, provided that You do not at any time exceed the number of authorized developer licenses specified in the License Certificate.
If the Software is designated by the License Certificate as a Server (Application Deployment) System, the Software may be used to execute Customer applications within one or more Execution Environments, provided that the applicable runtime usage limits specified in the License Certificate are not exceeded at any time.
Runtime usage limits may be expressed in the License Certificate by reference to one or more of the following metrics:
- Number of Runtime Instances;
- Number of concurrent run unit tasks;
- Allocated processing capacity (such as virtual processor cores or equivalent);
- Licensed workloads or environments; or
- Other execution metrics expressly stated in the License Certificate.
Usage may be further restricted by notices or other plain-text statements contained in the License Certificate.
Backup Copies
You may make a reasonable number of copies of the Software as necessary for backup and archival purposes, provided that only the licensed quantity of the Software is installed and operational at any given time as specified in the License Certificate.
Description of Other Rights and Limitations
Maintenance of Copyright Notices
You may not remove or alter any copyright notices on any and all copies of the Software.
Distribution
You may not distribute copies of the Software to third parties unless expressly authorized in writing by Licensor and accompanied by a copy of this EULA.
Deployment of the Software within a third-party hosting provider or cloud service for Your internal use shall not be considered distribution, rental, leasing, or lending of the Software, provided that You retain control over access to and use of the Software.
Prohibition on Reverse Engineering, De-compilation, and Disassembly
You may not reverse engineer, de-compile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law, notwithstanding this limitation.
You may not tamper with, forge, or defeat the License Certificate or alter the Software so as to circumvent any validation of use limitations contained in the License Certificate.
Rental
You may not rent, lease, or lend the Software to a third party.
Support Services
Licensor may provide support services related to the Software ("Support Services"). Any supplemental software code provided as part of Support Services shall be considered part of the Software and subject to this EULA, unless expressly stated otherwise in writing by Licensor.
Compliance with Applicable Laws
You must comply with all applicable laws regarding conveying, copying, and using the Software, including applicable export control laws and regulations of the United States and any other applicable jurisdiction.
Encryption
The Software may contain components that fall under U.S. export control regulations applicable to encryption software. You must comply with all applicable laws governing the importation, exportation, re-exportation, and use of such software.
Termination
If the License Certificate designates an expiration date, this EULA shall automatically terminate on that date unless a replacement License Certificate with a later expiration date, or no expiration date, is provided by Licensor.
Without prejudice to any other rights, Licensor may terminate this EULA if You fail to comply with its terms and conditions. Upon termination, and if requested by Licensor, You shall use commercially reasonable efforts to destroy all copies of the Software in your possession and attest to such destruction.
Copyright
All right, title, and interest, including but not limited to copyrights, in and to the Software and any copies thereof, are owned by the authors, Turret, and/or the other Providers.
All rights not expressly granted by this EULA are reserved by their respective owners.
No Warranties
THE SOFTWARE IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
YOU ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING THE SOFTWARE AND ASSUME ALL RISKS ASSOCIATED WITH ITS USE.
Limitation of Liability
IN NO EVENT SHALL THE PROVIDERS, WHETHER JOINTLY OR SEVERALLY, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE), ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE SOFTWARE OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
